Companies Listing of Equity Shares in Permissible Jurisdictions Amendment Rules 2025

The Central Government has introduced an important update in the rules under the Companies Rule, 2024. Under the authority of Section 23(3), read with Section 469 of the Companies Act, 2013. The central government is making rules to amend the Companies (Listing of equity shares in permissible jurisdictions) Rules, 2024.

These rules will be known as Companies (Listing of equity shares in permissible jurisdictions) Amendment Rules, 2025. The rule will be applicable from the date of its publication in the Official Gazette.

One of the main changes is the replacement of Form LEAP-1 in the Second Schedule of the original 2024 Rule. Form LEAP-1 filing is for the unlisted public companies that wish to list their shares on the stock exchange. It is formally known as Form for Submission of Prospectus with the Registrar, and simplifies the process for companies listing their stock exchanges.
