ROC Gwalior Penalises Director for Non-Maintenance of Registered Office The Registrar of Companies (ROC), Gwalior, imposed a penalty on a director of a company named "Satiate Agri Limited" for failing to maintain its registered office at the declared address.

Background of the case An online complaint was filed on the CPGRAMS portal on 21.05.2025 by Mr. Chanda Changlani against M/s Satiate Agri Limited. After receiving the complaint, the ROC Gwalior office sent a letter to the company on 23.05.2025. However, the letter was returned on 02.06.2025 with the remark "Addressee Left". As per the company’s records, Mr Sudhir Jain was appointed as Managing Director on 22.02.2025. Therefore, he is considered an "officer in default" for this matter. Since the letter could not be delivered, the authorities proceeded with the case and gave the concerned persons an opportunity to be heard on 23.02.2026. A Show Cause Notice was issued to the officers in default under the relevant provisions of the Companies Act. An online hearing was also scheduled. However, no director or authorised representative of the company appeared for the hearing.
ROC Mumbai Orders Penalty Under Section 450 for Board Meeting Default
Based on the facts, it was found that the company failed to maintain its registered office at the declared address. This is a violation of Section 12(1) of the Companies Act. As a result, under Section 12(8) of the Act, the company and its officers in default are liable for a penalty. As a result, ROC imposed a penalty of Rs 61,000 on the officers in default.
