ICSI Advisory on MGT-7/MGT-7A Certification via MCA V3 Portal
The Institute of Company Secretaries of India (ICSI) recently shared an advisory regarding Form MGT-7/MGT-7A Certification under the MCA V3 Portal.
The ICSI (Institute of Company Secretaries of India) said that the Ministry of Corporate Affairs (MCA) has made the annual filing forms available on their updated online portal, called MCA 21 V3. ICAI added that "Pursuant to the companies (Management and Administration) Amendment Rules, 2025, certification in Form MGT-8 has been integrated with the E-form MGT-7 on the V3 portal, thereby capturing the certification under Form MGT-8 in a static field."
Referring to the FAQs issued by MCA regarding Lot 3 forms, FAQ No. 37: any qualifying remarks about compliance can presently be included in the 'Optional Attachment' field in Form MGT-7, with specific reference to the embedded portion of Form MGT-8.
From December 1, 2025, the definition of a small company has been changed, but Form MGT-7A doesn’t yet have a place to include the Form MGT-8 certificate.
To ensure proper diligence and maintain credibility, it is recommended that compliance under Form MGT-8 continues to be certified on the letterhead of a Peer Reviewed Practice Unit. A UDIN should be generated following the Institute’s guidelines and attached as an optional document to Form MGT-7 and Form MGT-7A, until the Ministry of Corporate Affairs (MCA) issues further clarifications or rules on this matter.
