The Registrar of Companies (ROC), Uttarakhand, under the Ministry of Corporate Affairs (MCA), has levied a penalty of Rs 1.50 lakh on Him and Kays Agro Private Limited, along with its two directors, for violating Section 2(8) of the Companies Act 2013.
In accordance with the provisions of Section 12(1) of the Companies Act, 2013, every company is obliged to have a registered office capable of receiving and accepting all intimations and notices sent addressed to it, and the company is required to fulfil this requirement on and from the 15th day of its incorporation.
On August 16, 2025, a complaint against the disputed company was received by the ROC through email and the same was forwarded to the company itself through a Letter dated August 19, 2025, at its registered office as per the records of MCA; however, the letter was returned undelivered.
Thereafter, on February 03, 2026, a physical verification was conducted at the registered office of the company, located at Him and Kays House, 301, Phase II, Vasant Vihar, Dehradun, Uttarakhand, India, 248006. During the course of verification, the officials noted that "there was no signboard, and neither any information related to the Company was found nor any director/person found at the premises." At that moment, the dispute premises were discovered to be under construction and were not functioning; also, the sent intimation was also returned undelivered.
Considering all these aforementioned findings, the ROC found the company guilty of violating provisions of Section 2(8) of the Companies Act 2013. Consequently, the company and related officers were liable for penal action. Accordingly, a penalty amounting to Rs 50,000 has been imposed on Him and Kays Agro Private Limited and Rs 1 lakh on its two directors named Himanshu Singh Panwar and Kanika Singh.
They have been instructed to pay the imposed penalty amount and rectify the default within 90 days of receiving the order. Also, if aggrieved with the order, one can also challenge the same before the Regional Director, RD Chandigarh, within a period of sixty days from the date of receipt of this order.
