ROC levies penalty of Rs. 177000 on a Company for non-maintenance of Registered Office
Whereas, office of the Registrar of Companies, Bihar-cum-Official Liquidator, High Court, Patna, has issued notice under section 206(4) of the Companies Act, 2013 vide letter no. ROC/Pat/lnquiry /37324/737-749 dated 03.08.2022 to the company and its directors; however the said letter addressed to the company returned undelivered in this office with postal remarks "Insufficient address". Therefore, it appears that the company is not maintaining registered office as required under section 12(1) of the Companies Act, 2013.
That, this office has issued show cause notice under section 12 of the Companies Act 2013, vide letter no. ROC/BR/S-12/37324/SCN/1284-1286 dated 30.08.2022 to the company and its officers/ managing director but no reply has yet been received from them, however letter addressed to the company return undelivered with the postal rem.ark "No such person found on the address". Hence it appears that the provisions of Section 12 of the Companies Act, 2013 has been contravened by the company and its officers/managing director and therefore they are liable for penalty u/s 12(8) of the Companies Act, 2013.
ORDER
8. Having considered the facts and circumstances of the case, and after taking into account the factors above, I hereby impose a penalty on the Company and directors/officers in default of the company as per Table below under section 12(8) of the Act for failure in compliance of section 12(1) and 12(4) of the Companies Act, 2013.
