ROC Levies Penalty on Company for Delay in Filing Board Resolution
The Registrar of Companies (ROC) Ahmedabad has recently levied a penalty on Narayan Organics Pvt Ltd, along with its three officers, for not filing the Board of Resolution under section 117(1) on time. The company had passed a Board Resolution on 20.03.2024 for appointing the Internal auditor for the Financial Year 2023-24. Usually, the due date of filing MGT-14 is within 30 days of passing the resolution. However, the company had filed MGT-14 on 20.11.2024, a delay of 215 days in filing the Board Resolution.
The company voluntarily admitted this non-compliance in the adjudication application. The ROC imposed a penalty through an adjudication order dated September 25, 2025. The company was fined Rs 31,500, and each of the directors, including Mehul Dahyabhai Patel, Dahyabhai Narandas Patel, and Purav Dahyabhai Patel, was also fined Rs 31,500 each.
The Company's officers are required to correct their default and pay the specified amount within 90 days of receiving the order. The officers were directed to pay the penalty amount through 'the e-Adjudication' option on the website of the Ministry of Corporate Affairs (MCA), and to upload a copy of the paid challan/ SRN of e-filing on the e-Adjudication portal. The amounts of penalty are required to be paid from the officer's personal sources or income.
They also have the right to appeal to the Regional Director, Ahmedabad, within 60 days from receipt of the order. Non-payment within the given time may lead to further legal action under Section 454(8) of the Act.
