MCA Preparing Corporate Amendment Bill to Simplify Companies and LLP Laws
The Ministry of Corporate Affairs (MCA) is planning to bring a new Corporate Amendment Bill. This bill will include changes to both the Companies Act and the Limited Liability Partnership (LLP) Act. The main goal is to make business processes easier and reduce the compliance burden on companies.
The MCA has already prepared the Cabinet note that includes these proposed changes to both laws. A senior official said, “The forms are being rationalised, and more action on decriminalisation is being proposed for greater ease of doing business.”
The government is likely to present the Insolvency and Bankruptcy Code Amendment Bill in Parliament during the second half of the current Budget session. This bill comes under the Ministry of Corporate Affairs (MCA). A senior official said that most of the suggestions given by the select committee on the proposed bill have been accepted by the government.
The ministry is also planning to make changes to the laws that regulate professional bodies such as Chartered Accountants (CAs), Cost Accountants, and Company Secretaries (CS). These changes will be based on the recommendations of a high-level committee.
The main aim of these amendments is to allow the creation of large, global-level multidisciplinary professional firms in India.
The current rules in India do not allow professionals like Chartered Accountants (CAs), Company Secretaries (CS), lawyers, and actuaries to work together in one firm. Because of this, they cannot easily provide combined or “all-in-one” services the way big international firms do. The government is planning to change the laws so that these professionals can collaborate more freely. At the same time, through amendments to the Companies Act, the Ministry of Corporate Affairs (MCA) is also thinking about giving more authority to the National Financial Reporting Authority (NFRA). This would allow NFRA to assign some of its work to different teams, separating investigation and disciplinary actions, which could make the system more efficient and transparent.
The Ministry of Corporate Affairs (MCA) made changes to the Competition Act in 2023 to make it suitable for the modern, digital economy. This means that the government may soon make major updates to other corporate laws under the MCA as well.
The government wants to create a “light-touch regulatory framework”. The aim is to encourage businesses to grow faster, which can increase productivity and create more jobs.
The Companies Law Review Committee had already completed its recommendations for changes to the Companies Act more than two years ago. After that, some additional changes were also suggested. According to sources, all these updates have now been included in the cabinet note prepared by the MCA.
