ROC Chennai Orders Penalty for delay in filing MGT-17: Short Staff no Excuse
The Registrar of Companies, Chennai, passed an order on 12 May 2026 against Thirumalai Thirumal Nidhi Limited and its officer, Thangavel Jothirajan, for not filing Form MGT-14 on time as required under the Companies Act, 2013.
The company delayed filing the form related to approval of accounts and directors’ reports for the financial year ending 31 March 2023 by 313 days.
Although the company explained that the delay happened because of staff shortages and ongoing legal disputes, the authority still found both the company and the officer responsible for the violation.
As a result, a penalty of Rs. 41,300 was imposed on the company and Rs. 41,300 on the officer personally.
They were directed to pay the amount within 90 days through the MCA e-Adjudication portal, and the officer must pay from his own funds.
The order also states that an appeal can be made before the Regional Director, Chennai, within 60 days and warns that further action may be taken under Section 454(8) if the penalty is not paid on time.
