ROC Ahmedabad Imposes Penalty for Non-Registration of Independent Director The Registrar of Companies (ROC), Ahmedabad, recently imposed a penalty on a company named M/S Shreejikrupa Project Limited and its director for non-compliance with the registration of an Independent Director.

Background of the case

The company appointed an Independent Director. However, the director's name was not included in the data bank of Independent Directors maintained by the Indian Institute of Corporate Affairs (IICA), as required under Section 150(1) of the Companies Act, 2013, read with Rule 6(1) of the Companies (Appointment and Qualification of Directors) Rules, 2014.
ROC Bangalore Imposes Penalty for Non-Filing of Financial Statements
According to the law, every Independent Director should have their name registered in the IICA data bank. Failure to do so is considered a violation of statutory provisions. The company also filed Form GNL-3 on June 21, 2026, requesting that the penalty be levied only on the Officer in Default as per Section 2(60) of the Companies Act, 2013. The adjudication application further stated that the company showed that the Independent Directors had a default period from December 1, 2019, to October 13, 2022 (834 days). As a result, ROC imposed a penalty of Rs 200,000 on the company and Rs 50,000 on its director.
